AI Tools Policy
This AI Tools Policy (“Policy”) is a supplement to the Voximplant Terms of Service (the “Agreement”) and governs the use by you (“Client” or “You”) or your End Users of AI-based voice/text services (such as text-to-speech, speech-to-text, voice synthesis, conversational agents, voice cloning, etc.) (collectively, “AI Tools”). In the event of conflict between this Policy and the Agreement, this Policy shall control solely with respect to AI Tools; in all other respects, the Agreement remains in full force.
1. Definitions
In this Policy:
“You / your” means the Customer (or your End User) using the AI Tools under the Agreement.
“End User” means your customer or user who uses the AI Tools via your service.
“Input Data / Input” means any content (text, voice recordings, prompts, transcripts, etc.) that you or your End Users submit to the AI Tools.
“Output / Generated Output” means the text, audio, transcripts, voices, or other results generated by the AI Tools based on Input.
“Third-Party AI Provider” means any provider of AI tools or models whose service is integrated or resold through Voximplant or by you.
“Prohibited Use” means use of the AI Tools in ways expressly disallowed by this Policy.
“Derivative Output” means any modification, transformation, or augmentation of Output.
2. Scope & Permitted Use
2.1. You may use or make available to your End Users the AI Tools solely as permitted under (a) the Agreement and (b) the applicable Third-Party AI Provider’s license, API terms, usage policies, or other binding agreements.
2.2. Your use (and your End Users’ use) of the AI Tools must comply with all applicable laws, regulations, and third-party rights (including intellectual property, privacy, data protection, defamation, export control, etc.).
2.3. You may not use the AI Tools in a way that enables your users to reconstruct or replicate the underlying models (e.g. via model extraction, reverse engineering) unless the third-party provider expressly allows such use.
2.4. Unless otherwise permitted under your agreement with the Third-Party AI Provider, you may not resell, sublicense, or otherwise redistribute the AI Tools or allow third parties to piggyback on your access (unless explicitly allowed).
2.5. The license to use Output is subject to the same restrictions as the underlying AI Tools: you may grant your End Users limited rights to use Output, but you remain responsible for ensuring that such uses comply with this Policy and the underlying provider’s terms.
3. Prohibited Uses
You (and your End Users) must not use the AI Tools or Output for any of the following:
- Use in violation of any applicable law (e.g. harassment, hate speech, defamation, illicit content, terrorism, etc.).
- Creation, distribution, or promotion of sexually explicit content involving minors, or material that exploits minors.
- Use that infringes the intellectual property rights of others (unless you have the rights or permissions).
- Attempts to reverse engineer, decompile, or extract the underlying AI models, unless permitted by law or explicitly allowed by the provider.
- Use Output to build competitive models or services that compete with Voximplant or the Third-Party provider.
- Impersonation of any person or entity, or misrepresentation that the Output originates from a person or from the AI provider, unless clearly disclosed.
- Use that violates privacy or confidentiality (e.g. generating voice clones of individuals without consent).
- Any use that violates export controls, sanctions, or other restrictions.
- Use that attempts to evade moderation, content filters, or liability mechanisms.
- Use of Third-Party provider’s APIs or services beyond the authorized limits (e.g. excessive usage, overloading, spam).
4. Inputs, Outputs & Ownership / Licensing
4.1. You represent and warrant that you (and your End Users) have all necessary rights, consents, and permissions to submit the Input (including any voice recordings, scripts, audio) to the AI Tools, and to use the resulting Output.
4.2. Subject to compliance with this Policy and the Third-Party provider’s license, you may use, reproduce, distribute, publicly perform or display the Output, or create Derivative Output. However, you must not remove or alter any attribution, watermark, or notices required by the provider.
4.3. The Third-Party provider may retain or log Input and Output for moderation, auditing, debugging, or improving their models, as permitted by their policies. You must notify your End Users of such retention and comply with applicable data protection rules.
4.4. You must not claim ownership over the Third-Party provider’s model, API, or underlying technology beyond the license granted; you only get a right to use the Output under these terms.
4.5. You hereby grant to Voximplant and Third-Party providers a license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly or otherwise perform and display, and use your Input to provide the Services (including the trust and safety features therein), to improve the Services, and to develop new services and products. For avoidance of doubt, to the extent that your Input includes your voice, the foregoing license allows to reproduce, modify, publish, create derivative works from, distribute, publicly or otherwise perform, and use your voice, and other indicia of your persona that may be contained therein, to provide and improve the Services, and to develop new services and products. Notwithstanding the foregoing, we will not commercialize your voice on a standalone basis without your permission to do so. Such license shall be:
- perpetual and irrevocable (which means this license cannot be withdrawn),
- nonexclusive (which means you can license your Input to others),
- royalty-free and fully paid (which means there are no monetary fees for this license),
- worldwide (which means it’s valid anywhere in the world), and
- sub-licensable, through multiple tiers (which means we can make it available to others).
5. Safety, Moderation & Monitoring
5.1. You must implement reasonable moderation, filtering, or oversight mechanisms to mitigate misuse, harmful content, or non-compliance by your End Users.
5.2. You must promptly respond to and remove any content or uses that violate this Policy or applicable law (e.g. DMCA takedown, court orders, user complaints).
5.3. You must cooperate with the Third-Party provider or Voximplant in investigating misuse, suspicions of wrongful content, or compliance audits.
5.4. You must embed disclaimers or notices (where required) to clarify that generated voices or text are synthetic and to prevent misattribution or deception.
6. Privacy, Data Protection & Security
6.1. You and your End Users must comply with all applicable data protection, privacy and regulation laws (e.g. GDPR, CCPA, etc.).
6.2. When providing personal voice recordings or personal data as Input, you must ensure valid consents, lawful bases, and transparency.
6.3. You must adopt appropriate technical and organizational measures to protect Input, Output, and metadata from unauthorized access, leaks, or misuse.
6.4. You are responsible for anonymization, pseudonymization or redaction where needed to minimize risk (e.g. removing personal identifiers in transcripts or voice clones unless strictly necessary).
6.5. You may not provide any Input that includes protected health information as defined by the Health Insurance Portability and Accountability Act (HIPAA) of 1996, Pub. L. No. 104-191 except as permitted by an executed HIPAA BAA.
7. Liability, Indemnification & Disclaimers
7.1. You agree to indemnify, defend, and hold harmless Voximplant, its affiliates, and Third-Party providers against any loss, liability, damages, claims, or costs (including legal fees) arising from your or your End Users’ violation of this Policy, misuse of AI Tools, or any infringement of third-party rights.
7.2. You acknowledge that AI tools may generate inaccurate, biased, or harmful content, and you assume the risk of use.
7.3. Under no circumstances shall Voximplant (or Third-Party providers) be liable for indirect, incidental, special, consequential, or punitive damages arising out of your or your End Users’ use of AI Tools, beyond any liability caps in the Agreement or in the provider’s policies.
8. Termination & Suspension
8.1. Voximplant may suspend or terminate your access to AI Tools if you (or your End Users) violate this Policy, engage in Prohibited Use, or present a material risk or dispute.
8.2. Upon termination, you must cease use of AI Tools, disable them in your product, and ensure End Users no longer have access, except as permitted for residual use of already-generated Output (subject to provider’s terms).
8.3. You must preserve and cooperate with audits or investigations relating to compliance even after termination.
9. Changes & Updates
Voximplant may update this Policy from time to time (e.g. in response to changes in Third-Party provider terms, regulatory environment, or new risks). We will provide notice to you (e.g. via email or dashboard). Continued use of AI Tools after updates constitutes acceptance.
10. Miscellaneous
If any provision of this Policy is held invalid, the remaining provisions stay in effect.
In interpreting this Policy, provisions from the Third-Party provider’s terms or API license (if stricter) shall also bind you.
You must flow down or incorporate obligations of this Policy into any contract you have with your End Users with respect to AI Tools.
